Commercial Registry - Request

Commercial registry enables access to acts and facts regarding the legal status of companies, partnerships and other entities or sole traders.

With the commercial registry service, various events may be registered, from the formation of an entity to its cancellation.

Commercial registries may be carried out in two ways: registry by transcription and registry by deposit.

What is the difference between registry by transcription and registry by deposit?

 

Registry acts by transcription are approved or refused by a registrar or a register officer. As a result, facts registered by transcription are legally valid.

On the contrary, registry acts by deposit are only used to file documents on facts subject to commercial registry. Registries by deposit are not subject to validation by a registrar or register officer.

 

Registries by transcription are required in case of:

  • amendment to corporate bodies
  • amendment to share capital
  • company transformation
  • amendment to contractual provisions
  • registry conversion
  • winding up/liquidation
  • merger/demerger
  • amendment to contractual provisions with appointment of corporate bodies
  • amendment to contractual provisions with amendment to share capital
  • amendment to contractual provisions with amendment to share capital and appointment of corporate bodies
  • company transformation with appointment of corporate bodies
  • amendment to share capital and company transformation
  • amendment to share capital with company transformation and appointment of corporate bodies.

 

Registries by deposit are suggested in case of:

  • change of quotas
  • pledge of quotas
  • judicial charging order over quotas
  • freezing injunction over quotas
  • amortisation of quota
  • mandate/agency agreement
  • merger project/demerger project
  • registry cancellation/rectification.

Commercial registry of legal facts may be requested online.

Requests for commercial registries, certificates and certified copies, as well as appeals to decisions, may be carried out by post, sending requests to any Commercial Register Office. Click here for addresses.

If you prefer, you can request the registry of legal facts in person at a commercial register office.

How commercial Registry - Request ?

To request a commercial registry by transcription or by deposit online you need to:

  1. access the Online Company page
  2. choose the registry act
  3. authenticate with a Citizen Card or Mobile Digital Key (Chave Móvel Digital)
  4. request the registry.

Lawyers, notaries or solicitors, need to authenticate with their Digital Certificate, which proves their professional status.
